Job Description
Responsible to: Chair and board of directors of the company

Location: Wales (meetings majority virtual)

Term: 4 year Fixed-term, renewable in line with governing documents

Remuneration: Voluntary (expenses reimbursed)

Commitment: Approx. 6–10 meetings per year, plus occasional events

About Volleyball Wales
Volleyball Wales (VW) is the National Governing Body (NGB) for volleyball in Wales, overseeing beach, indoor, and sitting volleyball. Our mission is to promote and grow the sport throughout the country, from grassroots to elite level, by supporting our community, developing talent, and ensuring good governance.
We have recently re-established VW as the official NGB following a dormant period. This marks a new and exciting chapter for the sport in Wales, as we work to rejuvenate volleyball with a strong, sustainable, and future-focused governing body.
We are a volunteer-driven organisation with a clear purpose to:
• Promote volleyball across Wales
• Represent and support our members
• Deliver training, education, and community outreach
• Govern the sport with transparency and inclusivity

Role Summary
As an Independent Board Director, you will provide strategic oversight and professional expertise to help shape the future of volleyball in Wales. Directors must act in the best interests of VW, supporting the Board in achieving its goals while upholding the highest standards of governance and ethics.
We are currently seeking individuals with professional experience in the following key areas:
• Legal
• Governance
• Finance
• Marketing
• Commercial Development

Key Responsibilities
• To act as a Director of VW in the best interests of the company, with honesty and in good faith towards its members, employees, principal funding partners, sponsors and of the communities within which the VW operates
• Contribute to the strategic direction of VW, playing a full part in enabling the Board to arrive at balanced and objective decisions in line with the VW Articles of Association
• To ensure that the objectives of the VW, as agreed by the Board, are fully, promptly and properly carried out
• Provide independent judgement on matters of strategy, performance, and risk
• Champion the organisation’s mission, values, and objectives
• To act in the way s/he considers, in good faith, would be most likely to promote the success of the company for the benefit of its members as a whole
• Ensure the organisation operates in a transparent, ethical, and effective manner

Specialist Responsibilities by Role
Legal
• Provide guidance on legal matters including contracts, compliance, data protection, and disputes
• Ensure alignment with regulatory frameworks and obligations
• Support in managing risk and advising on governance documentation
Governance
• Uphold and review governance frameworks and compliance with the Code for Sports Governance
• Support board effectiveness through evaluation and best practice
• Drive board diversity and succession planning
Finance
• Oversee financial strategy and sustainability
• Support budgeting, financial reporting, and audits
• Ensure appropriate controls are in place for financial risk management
Marketing
• Advise on strategies to increase visibility, engagement, and reach of the sport
• Support branding, communications, and digital marketing initiatives
• Help develop campaigns to promote membership and participation
Commercial
• Identify and support opportunities for revenue growth through sponsorship, partnerships, and services
• Guide commercial strategy to enhance financial resilience
• Leverage networks to build strategic alliances

Person Specification
• A minimum of two (2) years of experience in the relevant area of expertise
• Experience of operating at a senior level in a strategic capacity
• Sound knowledge of the sporting system in Wales and in the UK&NI
• Understanding of and commitment to good governance principles
• Strategic thinker with strong communication and influencing skills
• Passionate about sport and community development
• Independent, impartial, and committed to ethical standards
• Ability in team working and relationship management
• Ability to support, challenge and work collaboratively with the Chair, Performance Manager and Board Members
